1: Production Company:

LeMay Industries, LLC will be referred to as "LeMay Industries". LeMay Industries may be contacted at: PO Box 1328, Litchfield Park, Arizona 85340-1328

2: Sponsor(s):

A business, or businesses, that have compensated LeMay Industries for the right to participate within "The Commercial Money Game Show" will be referred to as a "Sponsor".

3: Production:

The production of "The Commercial Money Game Show^TM" will be referred to as the "Show".

4: Contestant:

To become a "Contestant" on The Commercial Money Game Show, a viewer must be watching and call the number listed on the Show after the 30^th commercial airs.

5: Eligibility:

The Show is open only to persons who, at the time of entry, are legal residents of, and are physically present in, the 48 continental United States and the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, Guam and the US Virgin Islands) and who are eighteen (18) years of age or older. Employees of LeMay Industries, Sponsor, broadcast network, parent company of broadcast network, and their advertising and promotion agencies involved with this Show, and each of their respective subsidiaries, divisions, affiliates and related companies, immediate family members and/or those living in the same household of such employees are not eligible to compete or win. By calling the Show, a viewer becomes a Contestant, and is bound by and agrees to these Official Rules. All federal, state and local laws and regulations apply. Void in Alaska, Hawaii, Puerto Rico, Guam and the US Virgin Islands and where prohibited by international, federal, state, or local law. Winning households are ineligible to win additional prizes from the Show, within 30 days of their last winning show. To be eligible to win, each winner will be required to sign a release giving LeMay Industries permission to use his or her name, picture, portrait, likeness and voice for publicity purposes connected with this promotion without additional compensation. Winners must present a valid photo id (driver's license, passport, state identification card, temporary resident card, us military identification card, tribal identification card, us citizenship identification card) to be photocopied, before prize will be distributed. All tax and insurance costs are the responsibility of the winner. Winners will be required to execute and return an affidavit of eligibility and release as a condition of winning. Where applicable, tax forms must be completed. Upon collection of prize, winners must sign an agreement to release and hold harmless LeMay Industries, Sponsor and its affiliates, agencies, advertisers, licensees, and immediate families from claims, liabilities, or legal actions which may arise as a result of winning a prize in the Show.

6: Description:

The Show is a 28.5 minute long production which consists of 30 television advertisements. Each television advertisement is numbered in descending order. After the last television advertisement airs, a phone number will appear at the bottom of the screen. By calling the phone number, correctly answering 3 questions about the 30 television advertisements aired, and leaving contact information, a Contestant is entered to win one thousand dollars. If any of the 3 questions about the 30 television advertisements are answered incorrectly, the contestant fails to be entered into the drawing. All callers must leave a valid phone number and/or email address to be contacted at if Contestant should win. A Contestant may enter by telephone up to one hour (+/- 3minutes) after the Show has finished airing. Contestants may enter as many times as they wish. Winners must wait 30 days between winnings to be eligible to win again. Only 1 winner per household. Contestant(s) employed by LeMay Industries and/or Sponsor(s) of the Show will be disqualified.

7: Conditions for Participation and Validation of Entries:

Participants may not use sophisticated telephone or computer equipment to win the Show. Winners who are found to have used such equipment will be disqualified. By calling, entrant agrees to hold harmless and indemnify LeMay Industries, Sponsor and its respective parents, subsidiaries, affiliates, directors, officers, governors, employees and agents against any and all liability, damages or causes of action (however named or described), with respect to or arising out of either (i) entrant's participation, or (ii) the receipt or use of the Prize(s) awarded in the promotion. One winner per household. Winners are responsible for any and all federal, state, and local taxes which may be payable due to receipt of Prize(s).

8: Acts of God:

LeMay Industries, and/or Sponsor, is not responsible in the event of any technical difficulties with any equipment, including telephone equipment during any Show. In the event that the call becomes disconnected, the Show reserves the right to move onto the next caller. LeMay Industries, and/or Sponsor, is not responsible for any events beyond their control (acts of God, canceled network, artist or performer non-appearance, etc).

9: Drawing:

The Show winner will be drawn within 24 hours, and/or 1 business day after, the coinciding Show airs. After the Winner is randomly chosen from all correctly answered Contestants, the winning Contestant will be notified via phone and/or email (depending upon what information the Contestant originally left upon entering the Show). After the winning Contestant is contacted and notified, will a mass email be sent out letting other Contestants know via email and/or phone who has won and when the next show will be airing; contact is at LeMay Industries discretion.

10: Prize(s) and Approximate Retail Values (ARV):

Each monetary Prize(s) will be awarded in the form of a check. The amount of the Prize(s) ($1,000 dollars base Prize) may vary depending upon the previous episode's 3 questions being correctly answered and/or prize being collected within the allotted time period. PRIZE(S) MAY NOT BE EXCHANGED, SUBSTITUTED, OR REDEEMED FOR OTHER PRIZE(S) BY WINNER. PRIZE(S) ARE NON-TRANSFERABLE. CASH WILL NOT BE AWARDED AS A SUBSTITUTE FOR PRIZE(S). PRIZE(S) MUST BE CLAIMED AT: Arizona Escrow & Financial Corporation: 3700 N. 24thst. Suite 130, Phoenix AZ 85016 / Phone number: 602-956-2629 / Office Hours: 8am-5pm Mon-Fri (excluding holidays). WINNERS HAVE SEVEN (7) BUSINESS DAYS AFTER INITIAL DRAWING NOTIFICATION HAS BEEN SENT (via phone or email) OF THEIR INTENT TO CLAIM PRIZE(S). IF WINNER FAILS TO NOTIFY LEMAY INDUSTRIES (due to invalid phone number, invalid email address, or Acts of God), PRIZE(S) WILL BE FORFEIT AND GIVEN TO THE NEXT ELIGIBLE WINNER. WINNERS HAVE THIRTY (30) DAYS AFTER WINNING SHOW AIRS TO CLAIM PRIZE(S). PRIZE(S) CAN NOT BE MAILED. PRIZES NOT CLAIMED WITHIN 30 DAYS OF THE WINNING SHOW AIRING WILL BE FORFEITED BY WINNER TO NEXT ELIGIBLE WINNER. In the case that there are no eligible winners or phone calls received, all Prize(s) are forfeit to LeMay Industries. All Prize(s) award decisions are final.

11: Management:

Show rules may vary with individual episodes and television airings. The decisions of LeMay Industries are final. Rules may be changed by LeMay Industries at any time. LeMay Industries reserves the right to cancel the Show at any time to which subsequent Prize(s) roll over will be forfeit to the Show Sponsor(s).

12: GENERAL CONDITIONS:

a) By entering, entrants fully and unconditionally agree and accept to be bound by these complete Official Rules and the decisions of LeMay Industries, which shall be final. LeMay Industries has the right to modify these rules at their sole discretion for clarification purposes at any time without materially affecting the terms and conditions of the Show.

b) Except where prohibited, each winner grants to LeMay Industries and their advertising agencies the right to use, and publish his or her proper name, likeness, voice, opinions, biographical information, city and state and announce on-air winner's name, home city and state in any media (including posting on sponsor-specified websites and television shows/commercials) to promote the Sponsor and the Show without additional compensation.

c) Entrants enter at their own risk. LeMay Industries and/or Sponsor is not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incorrect, incomplete, ineligible or unintelligible entries; (ii) telephone, electronic, hardware, software program, network, Internet or computer failures or difficulties; (iii) errors or delays in transmission; (iv) any condition caused by events beyond the control of Sponsor that may cause the Show to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind caused by a Prize(s) or resulting from acceptance, possession, use or misuse of a Prize(s), or from participation in the Show; or (vi) any printing or typographical error in any materials associated with these Official Rules or the Show generally. Entrants assume all liability for any injury or damages caused or claimed to be caused by their participation in the Show and/or the acceptance and/or use of any prize, and release LeMay Industries, Sponsor and its respective officers, directors, employees, parents, subsidiaries and affiliates from any and all such liability. LeMay Industries, Sponsor and its respective officers, directors, employees, parents, subsidiaries and affiliates assume no responsibility for any injury or damage to participants or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with this Show.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRANTS, THEIR HEIRS, NEXT OF KIN, SPOUSE, GUARDIANS, LEGAL REPRESENTATIVES, EXECUTORS, AND ADMINISTRATORS (COLLECTIVELY, "RELEASING PARTIES") HEREBY RELEASE LEMAY INDUSTRIES, SPONSOR, AND EACH OF ITS RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATES, AND EACH OF ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS, FROM ANY AND ALL CLAIMS, ACTIONS, DAMAGES, LIABILITIES, LOSSES, COSTS AND EXPENSES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES) ARISING OUT OF, RESULTING FROM, OR BY REASON OF THEIR PARTICIPATION IN THE PROMOTION. IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASING PARTIES IRREVOCABLY AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS EACH OF THE SPONSORS FROM AND AGAINST ANY AND ALL SUCH CLAIMS BY WHOMEVER ASSERTED, INCLUDING, WITHOUT LIMITATION, ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH PROMOTION. PLEASE NOTE THAT A HIGH VOLUME OF CALLS, DELAY OF SIGNAL, OR TECHNICAL DIFFICULTIES WITH THE SYSTEM, MAY RESULT IN TEMPORARY INABILITY TO CONTACT THE SHOW. SPONSORS ARE NOT RESPONSIBLE OR LIABLE SHOULD ANY CALL NOT BE RECEIVED DUE TO SUCH DELAYS.

d) LeMay Industries may prohibit any entrant or potential entrant from participating in the Show, if at the sole discretion of LeMay Industries, if such person shows a disregard for these Official Rules, or acts (1) with an intent to annoy, abuse, threaten, or harass any other entrant, advertiser, Sponsor, or their agents or representatives; or (2) in any other disruptive manner.

e) In the event of a dispute as to the identity of an entrant entering via the methods set forth above in Rules, the authorized account holder of the phone or email address used to enter, if applicable, will be deemed to be the entrant. "Authorized account holder" of a phone is the natural person in whose name the phone has been issued and to whom services are billed. "Authorized account holder" of an email address is defined as the natural person who is assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

f) All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the participants and Sponsor in connection with the Show, shall be governed by and construed in accordance with the laws of Arizona without giving effect to any choice of law or conflict of law rules or provisions which would cause the application of the laws of any jurisdiction other than the State of Arizona. All LeMay Industries decisions as to all matters related to the administration of the Promotion and selection of the Prize winner are final.

13: Winners' List:

LeMay Industries reserves the right to air, post on the internet, or distribute a Prize Winner's name and home city for promotional purposes without additional compensation. In addition, a winners' list may (or may not) be posted online at the Show website (http://www.commercialmoneytv.com).
